Terms of Service

By accessing or using RememberAdate (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

RememberAdate is a personal AI reminder service that delivers reminders via text message, email, and AI voice. The Service is operated by SimplySync AI.

You must be at least 18 years old to use the Service. By using RememberAdate, you represent that you meet this requirement.

Plans purchased on the RememberAdate website are billed monthly or annually through Stripe. Subscription fees are charged at the beginning of each billing period. You may cancel website renewal from the billing portal. Plans purchased in the iOS app are billed by Apple through your Apple ID and automatically renew unless canceled at least 24 hours before the current period ends. You can manage or cancel an Apple subscription in your App Store subscription settings. Deleting your RememberAdate account cancels website billing, but it does not cancel an Apple subscription; cancel that subscription with Apple before deleting. Account deletion does not create a refund unless required by law. Apple purchases, cancellations, and refunds are also subject to Apple's applicable rules.

To ensure consistent service quality for all subscribers, RememberAdate uses a credit system for text messages, email reminders, AI voice minutes, and voice-activated reminder bookings. Each paid plan includes a monthly allowance of usage credits as described below.

5.1 Monthly Credit Allowances

On paid plans and during the 30-day trial, push notifications are unlimited and do not consume credits. During the trial, customers receive the Premium Plus usage allowances but no included helper seat. Trial allowances expire at the end of the trial and do not roll over.

Elite includes a second personal account for one invited Elite Member, plus two optional Helper connections. The Elite Member account has its own email, login, dashboard, reminders, and Premium allowances. The Elite Member does not need to be a Helper. Included access ends if the owner's Elite access ends or the owner removes or replaces the member; any separately accepted Helper access is governed independently.

5.2 Credit Rollover Policy

Unused text credits, email credits, AI voice minutes, and included voice booking credits may roll over for up to 3 months during your current membership year. The maximum rollover balance is capped at 3 times your monthly allowance (e.g., a Premium subscriber may accumulate up to 450 text credits). This ensures that total annual credit usage never exceeds your plan's yearly entitlement.

5.3 Membership Year and Annual Reset

Your membership year begins on the date your paid plan was first activated and renews annually on that same date. At the end of each membership year, all unused included plan credits expire and your credit balance resets. This prevents unlimited accumulation of included credits across years.

Example: a subscriber who activates on May 10 has a membership year running from May 10 through May 9 the following year. Any unused included credits as of May 10 of the following year expire and the cycle starts fresh.

5.4 Purchased Add-On Credits

Extra credits purchased in addition to your plan allowance never expire while your account remains active on a paid plan. Purchased credits are used only after your included credits are exhausted. Purchased credits have no cash value and are non-refundable.

5.5 Credit Deduction Order

When a reminder is delivered, credits are deducted in the following order: (1) included plan credits with the earliest expiration date, then (2) purchased credits in the order they were acquired. This protects you from losing rollover credits while preserving your purchased balance.

5.6 Exceeded Credits

If your available credit balance reaches zero, reminder delivery may be paused until your next monthly credit grant, or until you purchase additional credits. We will notify you through the dashboard before you reach your limit. We do not charge per-message overage fees.

5.7 Plan Changes

If you upgrade, your existing rollover credits are retained and new monthly amounts take effect on your next billing cycle. If you downgrade, your included rollover balance will be capped to the maximum rollover for your new plan at the time of downgrade.

5.8 Cancellation

Upon cancellation, included credits remain usable through the end of your paid billing period, then expire. Purchased credits are retained in your account and become usable again if you reactivate a paid plan.

You agree not to use the Service to:

• Send unsolicited or spam messages to third parties
• Harass, threaten, or harm any person
• Track, monitor, stalk, or attempt to locate another person without that person's knowledge and authorization
• Forward, publish, scrape, or misuse a private Helper Arrival link or location update
• Violate any applicable law or regulation
• Attempt to circumvent usage limits or security measures
• Reverse-engineer or copy any part of the Service

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

By subscribing and opting in, you consent to receive transactional SMS messages (reminders, confirmations, account alerts) related to the operation of your account. Message and data rates may apply. Reply STOP to opt out, HELP for help. See our SMS Terms for full details.

Della Location Helper features are optional. When you ask Della to remember a location, such as a parking spot or appointment location, we may save the location details you provide, device location coordinates if you permit them, notes, timestamps, and related check-in status information.

Appointment Arrival Check-In is intended to notify selected helpers when your phone appears to be near an appointment location during a limited appointment window. If you start appointment-only trip sharing, the selected helper may use a private link to see your latest reported location, approximate distance, estimated arrival time, destination, and arrival status. We retain only the latest trip coordinate and stop sharing when you confirm arrival, stop the update, sign out, or the appointment window expires.

Location sharing with helpers requires your consent for the specific check-in or sharing action. Helpers must separately accept helper alerts. You are responsible for choosing trusted helpers and for ensuring that each person whose device or location is involved knows about and authorizes the sharing. Helpers must keep private tracking links confidential.

Location, distance, ETA, and arrival notices are estimates and may be delayed, unavailable, or inaccurate because of device settings, signal conditions, operating-system restrictions, network availability, address data, or third-party mapping services. A near-location notice does not prove that someone entered a building, checked in, saw a provider, or completed an appointment. RememberAdate is not an emergency response, dispatch, personal safety, medical monitoring, or continuous surveillance service and is not a substitute for calling 911 or contacting a provider, caregiver, or emergency contact directly.

The Service is provided “as is” without warranties of any kind. We do not guarantee uninterrupted service, error-free operation, or that reminders will always be delivered on time. RememberAdate is a convenience tool and should not be relied upon as the sole means of tracking critical obligations.

To the fullest extent permitted by law, SimplySync AI and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use after changes take effect constitutes acceptance of the updated Terms.
